JARO-GO Terms of Service

1. Acceptance of Terms
By accessing or using JaroGO’s services (the "Service"), you agree to comply with and be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. Continued use constitutes acceptance of any revisions.  

2. Service Description
JaroGO provides a social media, entertainment, news, and marketplace platform connecting audiences with celebrities, marketers and influencers via a mobile app. Services may evolve, and we reserve the right to change or discontinue features without notice.

3. Eligibility
• Users must be at least 13 years old. Minors require parental consent.  
• Accounts must use accurate, current information. You are responsible for account security and activities.  

4. User Responsibilities
You agree to:  
• Comply with all applicable laws and regulations.
• Not engage in illegal, harmful, or abusive conduct (e.g., fraud, harassment, unsafe behavior).
• Avoid unauthorized access to the Service or others’ accounts.
• Promptly report violations or security issues.

5. Content Ownership
• User Content: You retain ownership of content (e.g., reviews, messages) but grant JaroGO a non-exclusive, worldwide license to use, modify, and display it in connection with the Service.
• JaroGO Content: All trademarks, logos, and app content are owned by JaroGO and may not be used without permission.

6. Privacy
Your data is handled per our [Privacy Policy](link), which outlines data collection (e.g., location, payment details) and usage. By using the Service, you consent to these practices.

7. Payments
7.1 Transaction Types
JaroGO facilitates payments for:  
• Digital Content Purchases: Buying exclusive content (e.g., videos, posts) from creators.
• Paid Interactions: Fees for personalized shoutouts, live streams, or direct messaging with celebrities/influencers.
• Subscriptions: Recurring payments for premium access to creators’ content.
• Tips/Donations: Voluntary payments to support creators.
• Marketplace Transactions: Purchasing physical/digital goods (e.g., merchandise, NFTs) sold by users.

7.2 Payment Methods
• Payments are processed via Stripe or Authorize.net, third-party payment gateways. By using the Service, you agree to Authorize.net’s Terms of Service  and https://stripe.com/legal/ssa
• Accepted methods: Credit/debit cards, digital wallets (Apple Pay, Google Pay), and JaroGO Wallet balances (if applicable).

7.3 Authorization & Escrow
• Purchases: You authorize JaroGO to charge your payment method for the total amount (including fees) upon confirmation of a transaction.
• Escrow for Marketplace Goods: Payments for physical goods may be held in escrow until delivery is confirmed by the buyer.
• Subscriptions: Recurring charges continue until canceled by you. Cancel anytime via your account settings.

7.4 Fees & Commissions
• Service Fees: JaroGO charges a service fee on transactions (e.g., content purchases, subscriptions). Fees are deducted before payouts to creators/sellers.
• Creator Earnings: Creators receive payments net of fees. Payouts are processed within 30 business days via direct deposit, PayPal, or other approved methods.
• Non-Refundable Fees: Service fees are non-refundable unless otherwise required by law.

7.5 Promotions & Credits
• Promo Codes: Discounts or credits are subject to terms (e.g., expiry dates, usage limits). Abuse may result in account suspension.
• JaroGO Credits: In-app credits (e.g., from referrals) expire after 30 days, are non-transferable, and cannot be redeemed for cash.

7.6 Refunds & Disputes
• Digital Content: Refunds are discretionary and require a valid reason (e.g., undelivered content). Submit requests via the app within 48 hours. 
• Physical Goods: Buyers may dispute orders within 5 days of delivery if items are damaged, misrepresented, or not received. JaroGO may mediate disputes but is not liable for third-party seller actions.
• Chargebacks: Unauthorized chargebacks may result in account suspension or legal action.

7.7 Taxes
• Buyers: Sales tax (if applicable) is added at checkout.
• Creators/Sellers: You are responsible for reporting income and paying taxes on earnings generated through JaroGO.

7.8 Currency
All transactions are processed in USD Cross-border payments may incur currency conversion fees charged by your bank or payment provider.

7.9 Prohibited Transactions
You agree not to:  
• Use stolen payment methods or engage in fraudulent chargebacks.
• Sell prohibited items (see Section 4: User Conduct). 
• Bypass JaroGO’s payment system to transact directly with other users (e.g., off-platform payments).

7.10 Payment Processor Liability
JaroGO is not responsible for errors, delays, or security breaches caused by Authorize.net or other third-party payment processors.

8.0 Intellectual Property Policy & Fair Use

• Statement of Respect: "JaroGO respects the intellectual property rights of others and expects its users to do the same."
• User Warranty: "By posting Content on the JaroGO platform, you represent and warrant that: (i) you are the owner of the Content or have the right to use it, including all copyrights therein; and (ii) the posting of your Content on JaroGO does not violate the privacy rights, publicity rights, copyrights, contract rights, or any other rights of any person."
• Acknowledgment of Fair Use: "JaroGO acknowledges that not all unauthorized uses of copyrighted material are infringing. In accordance with applicable copyright law, JaroGO will consider the principles of 'fair use' (or analogous doctrines in certain jurisdictions) when evaluating copyright claims. These principles allow for limited use of copyrighted material without permission for purposes such as criticism, comment, news reporting, teaching, scholarship, or research."

8.1 Integration with DMCA Takedown Process

• Link to DMCA Policy: This clause must directly link to a separate, detailed DMCA/Copyright Policy page that provides:
• The designated agent to receive takedown notices (name, address, email).
• The exact procedure for rights holders to submit a claim.
• The procedure for users to file a counter-notice.
• Repeat infringers will be terminated from the JaroGO platforms after two violations.
• Takedown Process Explanation: "Upon receipt of a valid DMCA takedown notice that substantially complies with all statutory requirements, JaroGO will act expeditiously to remove or disable access to the allegedly infringing content. We will also notify the user who posted the content and provide them with a copy of the notice."

9.0 User Accountability

• Counter-Notice: "If you believe your content was removed as a result of a mistake or misidentification, you may submit a counter-notice to our designated agent. If we receive a valid counter-notice, we will send it to the original complainant. Unless the complainant files an action seeking a court order against you, the removed content may be replaced, or access to it restored, within 10-14 business days."
• Repeat Infringer Policy: "It is JaroGO's policy, in appropriate circumstances and at its sole discretion, to disable and/or terminate the accounts of users who repeatedly infringe or are repeatedly charged with infringing the copyrights or other intellectual property rights of others."

10. Disclaimers
The Service is provided "as is" without warranties. JaroGO disclaims liability for:  
• Service interruptions or errors.  
• User conduct or content.  
• Damages arising from Service use.  

11. Termination
• You may terminate by deleting your account.  
• JaroGO reserves the right to suspend or terminate access for violations, with or without notice.  

12. Dispute Resolution
• Governing Law: Disputes are governed by laws of the State of Delaware. 
• Arbitration: Claims must be resolved through binding arbitration, waiving class actions.  

13. Modifications
We may update these Terms periodically. Changes take effect upon posting, with notice via email or in-app alerts. Continued use implies acceptance.

Additional Notes
• Third-Party Services: The Service may integrate with third parties (e.g., payment processors), subject to their terms.
• Force Majeure: JaroGO is not liable for delays due to unforeseen events (e.g., natural disasters).
• Severability: If a provision is invalid, the remainder of the Terms remains enforceable.
